Welcome to AgentsUp.ai (the "Platform"), operated by Distack Solutions SMC PVT LTD ("Company," "we," "our," or "us"). By accessing or using the Platform, including our website, dashboard, APIs, and any related mobile or desktop applications, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to all of the Terms, you may not access or use the Platform.

Important Payment Notice: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. These Terms govern your use of our software services; payment processing is additionally governed by Paddle's terms of service.

1. Acceptance of Terms

Welcome to AgentsUp.ai (the "Platform"), operated by Distack Solutions SMC PVT LTD. By accessing or using the Platform, you agree to be bound by these Terms of Service.

If you do not agree to all of the Terms, you may not access or use the Platform.

2. Description of Services

2.1 Platform Services

AgentsUp.ai provides AI-driven software services that enable Users to create, configure, and manage specialized AI agents to automate business tasks. Our Services include:

  • AI Agent Marketplace: Access to pre-built AI agents for marketing, content creation, social media management, analytics, competitor analysis, and personalization
  • Agent Management: Tools to deploy, configure, and monitor AI agent performance
  • Task Execution: Ability to run automated tasks through our AI agents
  • Analytics Dashboard: Performance tracking and reporting for agent activities
  • Integrations: Connections with third-party services (Google Docs, Notion, etc.)
  • API Access: Developer tools for custom integrations (Pro plans and above)

2.2 Service Availability

The specific functionality available to you depends on your subscription plan and any integrations you activate. We strive to maintain 99.9% uptime but do not guarantee uninterrupted service availability.

2.3 Service Limitations

Our AI agents provide automation assistance but do not guarantee specific business outcomes or results. Performance may vary based on:

  • Quality and clarity of user inputs
  • Complexity of requested tasks
  • Third-party service availability
  • Network connectivity and performance

3. Accounts & Eligibility

3.1 Age and Legal Requirements

  • Users must be at least 18 years old and legally able to enter into contracts
  • If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms
  • Users must provide accurate and complete registration information

3.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity under your account, whether authorized or not
  • You must notify us immediately of any unauthorized use of your account
  • You may not share your account credentials or allow others to access your account

3.3 Account Termination

AgentsUp.ai may suspend or terminate accounts that:

  • Violate these Terms or applicable laws
  • Engage in fraudulent or abusive behavior
  • Compromise platform security or integrity
  • Remain inactive for extended periods (as defined in our data retention policy)

4. Subscription Plans, Payment & Billing

4.1 Subscription Plans

We offer multiple subscription tiers:

Free Plan:

  • Access to 1 AI agent (AI Content Writer)
  • Up to 10 tasks per month
  • Basic analytics (last 5 tasks only)
  • Community support
  • No credit card required

Pro Plan:

  • Full access to all 6 AI agents
  • Unlimited task executions
  • Advanced analytics and performance reports
  • File upload/export capabilities
  • Google Docs & Notion integrations
  • Priority email support (24-48 hour response)
  • API access for developers
  • Monthly or annual billing options

4.2 Payment Processing

  • All payment processing is handled by Paddle.com, our Merchant of Record
  • By subscribing to a paid plan, you authorize recurring charges to your selected payment method
  • Paddle collects and processes all payment information including credit card details and billing addresses
  • We receive only limited billing metadata from Paddle (subscription status, plan type, transaction notifications)

4.3 Billing and Renewal

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You will be charged in advance for each billing period
  • Renewal charges will be processed by Paddle using your selected payment method
  • You are responsible for ensuring your payment method remains valid and current

4.4 Pricing and Changes

  • Current pricing is displayed on our website and during the checkout process
  • We may change subscription prices with 30 days advance notice
  • Price changes will not affect your current billing period
  • Promotional pricing may have specific terms and conditions

4.5 Taxes

  • Paddle handles all tax collection and remittance globally as required by applicable laws
  • Prices displayed may be exclusive of applicable taxes, which will be calculated at checkout
  • You are responsible for providing accurate tax information if required

5. Refunds and Cancellations

5.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee for all paid subscriptions:

  • You may request a full refund within 30 days of your initial purchase
  • Refund requests must be submitted through our support system or by contacting Paddle directly
  • Refunds are processed by Paddle within 5-10 business days to your original payment method
  • This guarantee applies only to first-time subscriptions, not renewals

5.2 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellations take effect at the end of your current billing period
  • You will retain access to Pro features until the end of your paid period
  • No partial refunds are provided for mid-cycle cancellations (except within the 30-day guarantee period)

5.3 Refund Process

  • Refund requests should be directed to: support@agentsup.ai
  • For payment-related refund issues, contact Paddle.com directly
  • Disputed charges should be addressed with Paddle as the Merchant of Record
  • We may request account verification before processing refunds

6. User Content & Data Privacy

6.1 User Content Ownership

  • You retain ownership of all text, files, prompts, and other content you upload ("User Content")
  • You are solely responsible for the accuracy, legality, and appropriateness of your User Content
  • You must have all necessary rights and permissions to upload and use your User Content

6.2 License to Process User Content

You grant AgentsUp.ai a worldwide, non-exclusive, royalty-free license to:

  • Process, store, and analyze User Content solely to provide the Services
  • Use User Content to generate AI responses and perform requested tasks
  • Temporarily cache User Content for performance optimization
  • Share User Content with third-party AI providers (OpenAI, Anthropic, Google) as necessary to fulfill your requests

6.3 Data Privacy and Security

  • Our data collection and use practices are described in detail in our Privacy Policy
  • We implement industry-standard security measures to protect your data
  • We do not sell or share User Content for marketing purposes
  • You may delete your User Content at any time through your dashboard

6.4 Third-Party AI Providers

When you use our AI agents, your prompts and relevant context may be sent to:

  • OpenAI for GPT model processing
  • Anthropic for Claude model processing
  • Google for Gemini model processing
  • Other AI providers as we expand our capabilities

This data sharing is subject to these providers' respective privacy policies and terms of service.

7. Intellectual Property Rights

7.1 Company Property

All software, documentation, algorithms, user interfaces, and content provided by AgentsUp.ai (excluding User Content) are the exclusive property of Distack Solutions SMC PVT LTD or its licensors and are protected by:

  • Copyright laws
  • Trademark laws
  • Trade secret laws
  • International intellectual property treaties

7.2 Limited License to Users

We grant you a limited, non-exclusive, non-transferable license to:

  • Access and use the Services for your internal business purposes
  • Use our API and documentation in accordance with your subscription plan
  • Create content using our AI agents for your business needs

7.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of our software
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Remove or modify any proprietary notices or labels
  • Use our trademarks without prior written permission
  • Attempt to extract or replicate our AI models or algorithms

8. Acceptable Use Policy

8.1 Permitted Uses

You may use the Services to:

  • Automate legitimate business tasks and processes
  • Generate content for marketing, communication, and business purposes
  • Analyze data and generate insights for business decisions
  • Integrate with your existing business workflows and tools

8.2 Prohibited Activities

Users may not:

Technical Violations:

  • Reverse-engineer, decompile, or attempt to extract source code
  • Introduce malware, viruses, or harmful code
  • Interfere with platform integrity, performance, or security
  • Attempt unauthorized access to our systems or other users' accounts

Content Violations:

  • Generate content that infringes intellectual property rights
  • Create content that is illegal, harmful, or offensive
  • Produce spam, misleading information, or deceptive content
  • Generate content for illegal activities or services

Business Violations:

  • Resell, sublicense, or distribute the Services without written consent
  • Use the Services to compete directly with AgentsUp.ai
  • Share account credentials or allow unauthorized access
  • Violate any applicable laws or regulations

8.3 Monitoring and Enforcement

  • We reserve the right to monitor usage for compliance with these Terms
  • We may investigate suspected violations and take appropriate action
  • Violations may result in warning, service limitation, or account termination
  • We cooperate with law enforcement regarding illegal activities

9. Platform Availability and Support

9.1 Service Level Commitment

  • We target 99.9% uptime for our Services
  • Planned maintenance will be announced in advance when possible
  • We provide status updates during service interruptions

9.2 Support Services

Free Plan Users:

  • Community support through our knowledge base and forums
  • Email support for account and billing issues

Pro Plan Users:

  • Priority email support with 24-48 hour response time
  • Detailed troubleshooting assistance
  • Feature request consideration
  • Integration support

9.3 Service Limitations

We do not guarantee:

  • Specific response times from AI models
  • Availability of third-party integrations
  • Compatibility with all systems and workflows
  • Specific business outcomes or results

10. Disclaimers & Limitation of Liability

10.1 Service Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED SERVICE.

10.2 AI-Specific Disclaimers

  • AI-generated content may contain errors, inaccuracies, or biases
  • AI models may occasionally produce inappropriate or unexpected outputs
  • We do not guarantee the accuracy or reliability of AI-generated content
  • Users are responsible for reviewing and validating all AI outputs before use

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Damage Limitations: Our total liability for any claims relating to the Services shall not exceed the amount you paid for the Services in the 12 months preceding the claim.

Excluded Damages: We shall not be liable for indirect, incidental, consequential damages, loss of profits, revenue, business opportunities, data, reputation, or business interruption.

11. Termination

11.1 Termination by You

  • You may terminate your account at any time through your account settings
  • Cancellation of paid subscriptions follows the process outlined in Section 5
  • You remain responsible for charges incurred prior to termination

11.2 Termination by Us

We may terminate or suspend your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account remains inactive for over 24 months
  • We discontinue the Services (with reasonable notice)

11.3 Effect of Termination

Upon termination:

  • Your right to use the Services ceases immediately
  • We may delete your User Content after a reasonable grace period
  • You remain obligated for any outstanding charges
  • Sections 6-7 and 9-16 of these Terms survive termination

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Jurisdiction

Any disputes arising under these Terms shall be resolved exclusively in the competent courts located in Karachi, Pakistan, unless otherwise required by mandatory local law.

12.3 Alternative Dispute Resolution

For disputes under $10,000 USD, we encourage resolution through:

  • Direct negotiation between the parties
  • Mediation through a mutually agreed mediator
  • Online dispute resolution platforms

12.4 Payment Disputes

  • Payment-related disputes are handled by Paddle.com as the Merchant of Record
  • For billing issues, contact Paddle directly through their support channels
  • Chargeback disputes are managed by Paddle on our behalf

13. Compliance and Legal Requirements

13.1 Export Controls

  • The Services may be subject to export control laws
  • You agree to comply with all applicable export and import laws
  • You may not use the Services in prohibited countries or for prohibited purposes

13.2 GDPR Compliance

For users in the European Economic Area:

  • We process personal data in accordance with GDPR requirements
  • You have rights to access, correct, delete, and port your data

13.3 Accessibility

  • We strive to make our Services accessible to users with disabilities

14. Changes to Terms and Services

  • We may modify these Terms at any time
  • Material changes will be notified via email and platform notice 30 days in advance
  • Continued use after the effective date constitutes acceptance
  • If you disagree with changes, you may terminate your account

14.2 Service Changes

  • We may modify, update, or discontinue Services with reasonable notice
  • We will provide 90 days notice for significant feature removals
  • New features may be added without notice
  • Some changes may be necessary for security or legal compliance

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and AgentsUp.ai regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

  • You may not assign or transfer these Terms without our written consent
  • We may assign these Terms in connection with a merger, acquisition, or sale of assets

15.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
